THEMIS 使用條款 / Terms of Use

訪問或使用 THEMIS AI Compliance Suite（「本平台」）即表示你同意本條款。如你代表企業使用，你聲明已獲授權使該企業受本條款約束。

/ By accessing or using the THEMIS AI Compliance Suite (the "Platform"), you agree to these Terms. If you use the Platform on behalf of a company, you represent that you are authorised to bind that company.

本平台為香港中小企業提供 AI 合規治理，包括：Compliance Management Console、Browser Probe、Desktop DLP、AI Gateway。所有敏感信息檢測均在你的設備或你企業網絡內的 AI Gateway 本地完成；頁面內容、輸入原文、提示詞原文不會離開你的設備或企業網絡。

/ The Platform provides AI compliance governance for Hong Kong SMEs, including the Compliance Management Console, Browser Probe, Desktop DLP and AI Gateway. All sensitive-data detection runs locally on your device or on the AI Gateway inside your corporate network; page content, typed text and prompt text never leave your device or network.

• 企業管理員負責配置帳戶、角色與政策，並按《個人資料（私隱）條例》（第 486 章）向其員工作出妥善告知。
• 你須妥善保管登入憑據，對帳戶下的所有活動負責。

/ Company administrators are responsible for configuring accounts, roles and policies, and for notifying employees as required by the Personal Data (Privacy) Ordinance (Cap. 486). You must safeguard your credentials and are responsible for all activity under your account.

你不得：

• 逆向工程、反編譯或干擾本平台；
• 繞過、破壞或干擾檢測與審計機制；
• 上傳惡意代碼或利用本平台從事非法目的或侵犯第三方權利。

/ You must not: reverse-engineer, decompile or interfere with the Platform; circumvent, disable or tamper with detection and audit mechanisms; upload malicious code; or use the Platform for unlawful purposes or to infringe third-party rights.

• 本平台按訂閱方案提供，費用與計費週期以訂單為準，不提供免費試用。
• 訂閱自動續訂；你可在當前計費週期結束前取消，取消後已付週期內仍可繼續使用至期滿。
• 除法律另有規定外，已付費用不予退還（部分月份或未使用期間不退、不抵免）。
• 我們可調整訂閱價格，並於變更生效前 30 天在官網公告；你不同意新價格可在生效前取消續訂。
• 逾期未付費，我們可暫停或終止服務。

/ The Platform is provided on a subscription basis with fees and billing cycles as stated in your order; no free trial is offered. Subscriptions renew automatically; you may cancel before the end of the current billing period and continue to use the service until the period ends. Except as required by law, fees paid are non-refundable (no refunds or credits for partial months or unused periods). We may adjust subscription prices with at least 30 days' notice on the website; if you do not agree to the new price, you may cancel renewal before it takes effect. We may suspend or terminate service for overdue payment.

本平台及其全部內容、商標與技術屬 TerraPeak 所有。你的數據（含審計記錄）所有權歸你或你的企業；我們僅按隱私政策處理。

/ The Platform and all its content, trademarks and technology are owned by TerraPeak. Your data (including audit records) remains yours or your company's; we process it only in accordance with the Privacy Policy.

本平台按「原樣」提供。本平台提供的合規資訊與法規映射僅供參考，不構成法律意見；具體合規事宜請諮詢法律專業人士。

/ The Platform is provided "as is". Compliance information and regulatory mappings provided by the Platform are for reference only and do not constitute legal advice; please consult legal professionals for specific compliance matters.

在法律允許的最大範圍內，TerraPeak不對間接、附帶、特殊或後果性損害（包括利潤、收入、數據或商譽損失）負責；我們的累計責任以你於引發索賠事件前 12 個月內就本平台支付的費用為限。本限制不適用於法律不能排除或限制的責任（包括欺詐、故意不當行為）。

/ To the maximum extent permitted by law, TerraPeak is not liable for indirect, incidental, special or consequential damages (including loss of profits, revenue, data or goodwill); our aggregate liability is capped at the fees you paid for the Platform in the 12 months preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be excluded or limited by law (including fraud or wilful misconduct).

訂閱期滿不續訂或一方嚴重違約時終止。終止後我們按隱私政策的保留期限處理你的數據。

/ The service terminates upon non-renewal or material breach. Upon termination we handle your data in accordance with the retention periods in the Privacy Policy.

本條款受香港法律管轄，雙方同意香港法院有專屬管轄權。

/ These Terms are governed by the laws of Hong Kong, and the parties submit to the exclusive jurisdiction of the Hong Kong courts.
